FOLIOTREND TERMS OF SERVICE

These Terms of Service ("Terms") are a binding agreement between you and the operator of FolioTrend (foliotrend.com), a sole proprietorship based in California ("FolioTrend," "we," "us," "our"). By creating an account or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree you must not use the Service. "Service" means the FolioTrend web application and all related features available at foliotrend.com.

FolioTrend is a financial research and information platform. It provides portfolio tracking, AI-assisted quantitative analysis, market data, simulation tools, educational content, and research tools.

FolioTrend is NOT any of the following:

• A registered investment adviser under the Investment Advisers Act of 1940 or any state law equivalent.
• A broker-dealer.
• A financial planner.
• A money manager.
• A trading platform.

FolioTrend does NOT:

• Execute trades on your behalf.
• Hold your funds or assets.
• Manage your investments.
• Provide personalized investment advice tailored to your individual financial situation, goals, or risk tolerance.

All analysis, scores, signals, research outputs, and simulations produced by FolioTrend are general informational and educational tools based on quantitative models and publicly available market data. They are not recommendations to buy, sell, or hold any security. Past performance shown in any backtest, historical analysis, or simulation does not guarantee future results. Monte Carlo simulations and price forecasts are statistical models, not predictions. You are solely responsible for your own investment decisions and their outcomes.

You must be at least 18 years old to use FolioTrend. By creating an account you confirm you meet this requirement. FolioTrend is intended for use in jurisdictions where such a research service is lawful.

You may create an account using an email address and password you create, or by signing in with Google. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You must provide accurate information when creating your account. You may provide a recovery email address to help regain access if you lose your credentials — this is optional but recommended. You may not share your account with others or create accounts for the purpose of circumventing any restriction or limit. If you believe your account has been compromised contact us immediately.

FolioTrend offers the following plans:

Free: access to core features at no cost with usage limits as described on the pricing page.

Pro (monthly or annual): a recurring subscription that unlocks the full feature set. Current pricing is listed on the pricing page at foliotrend.com/pricing. Prices may change with at least 30 days notice. Continued use after a price change constitutes acceptance of the new price. Monthly and annual subscriptions can be cancelled at any time. Cancellation takes effect at the end of the then-current billing period. Fees already paid are non-refundable except as required by law.

Lifetime plan: a one-time payment for permanent access to Pro-tier features. No recurring charges. The Lifetime plan is non-refundable after 14 days from purchase except as required by law.

All payments are processed by Stripe. FolioTrend does not store your full payment card number. You must maintain a valid payment method for paid plans. Failure to pay may result in downgrade to the Free plan. Fees are in USD and are exclusive of applicable taxes which are your responsibility.

An optional free trial may be available on paid plans as advertised at checkout. If you do not cancel before the trial ends your plan converts automatically to a paid subscription at the applicable rate.

You retain full ownership of all portfolio data, holdings, watchlist items, journal entries, and other content you enter into FolioTrend ("Your Data"). You grant FolioTrend a limited, non-exclusive license to access, store, and process Your Data solely to provide and improve the Service for you, as described in the Privacy Policy. You represent that you have the right to submit all data you provide to the Service.

Automatically syncing a brokerage or crypto exchange account is coming soon and is not yet available. Portfolio data is entered manually or imported via CSV today. Once brokerage connections launch, any authorized integration will be read-only, FolioTrend will never place trades or access your brokerage password, and you will be able to disconnect any linked account at any time. FolioTrend will not be responsible for the acts, omissions, or downtime of any third-party brokerage API used for that feature.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any law.
• Attempt to access another user's account or data.
• Reverse engineer, decompile, or extract the source code, AI models, or proprietary algorithms of the Service.
• Use automated tools to scrape or extract data from the Service outside of its supported features.
• Interfere with or disrupt the security, integrity, or performance of the Service.
• Use the Service to build a competing product.
• Upload malware, spam, or harmful content.
• Misrepresent your identity or affiliation.
• Share your account credentials with others.

FolioTrend and its operator retain all ownership of the Service, including its software, design, AI models, analysis methodology, quantitative models, and all proprietary materials. You may not copy, modify, distribute, or create derivative works from any part of the Service without express written permission. The name "FolioTrend" and related branding are proprietary.

FolioTrend uses AI and machine learning models to generate analysis, factor scores, research summaries, simulations, and other output ("Research Output"). Research Output is provided for informational and educational purposes only. Research Output may be incomplete, inaccurate, or unsuitable for your specific situation. FolioTrend does not guarantee the accuracy, completeness, or timeliness of Research Output. You are solely responsible for reviewing Research Output before making any investment decision. Never rely solely on FolioTrend's Research Output for decisions affecting your finances.

The Service connects to third-party data providers and services to function, including Alpha Vantage, Polygon.io, CoinGecko, FRED, SEC EDGAR, Google Gemini (which powers FolioTrend's AI research agents and Morning Brief), and Stripe. FolioTrend is not responsible for the availability, accuracy, or actions of any of these third-party services. Your use of third-party connections through FolioTrend is also subject to each provider's own terms of service.

THE SERVICE AND ALL RESEARCH OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FOLIOTREND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESEARCH OUTPUT WILL BE ACCURATE OR COMPLETE. USE OF THE SERVICE IS AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, FOLIOTREND AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, INVESTMENT LOSSES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FOLIOTREND'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO FOLIOTREND IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE CALIFORNIA LAW.

You agree to indemnify and hold harmless FolioTrend and its operator from and against any third-party claims, damages, liabilities, and reasonable expenses arising out of your breach of these Terms, your use of the Service in violation of any law, or your submission of content that infringes a third party's rights.

You may delete your account at any time from Settings. Upon deletion your data is removed within 30 days per the Privacy Policy. FolioTrend may suspend or terminate your account for breach of these Terms, non-payment, or conduct that poses a security or legal risk, with or without notice. Paid subscriptions cancelled by FolioTrend for reasons other than breach will receive a prorated refund for unused time.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved in the state or federal courts located in California, and you consent to personal jurisdiction there.

We may update these Terms from time to time. Material changes will be communicated with at least 30 days notice by email and in-app notice. Continued use after the effective date constitutes acceptance. If you do not agree to updated Terms you must stop using the Service and may delete your account.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and FolioTrend regarding the Service and supersede all prior agreements. If any provision is found unenforceable the remaining provisions remain in full effect.
